General Terms of Service for Individual Joro Cash Users

Preamble

This document constitutes the Terms of Service of the Joro ِCash application (hereinafter "the Application" or "Joro ِCash" or "the Joro ِCash Application") for individual users (hereinafter referred to as the "TOS"), applicable to all our users (hereinafter referred to as the "User(s)") and for the provision of our products and services (the "Service(s)") related to Joro ِCash accounts (hereinafter referred to as "Account(s)").
These General Terms of Service (TOS) will come into effect on April 13th, 2023. 

To use the Joro ِCash Service, the User must first be aware of and accept: 

1- These General Terms of Service (TOS);
2- The Joro ِCash Personal Data Protection Policy;
3- The Service pricing conditions set out in the Pricing Appendix.

These three documents are available for consultation at any time on the Joro ِCash website and within the Joro Application, available on Google Play and the App Store. It is understood that these contractual documents explain each other. However, in case of contradiction or divergence between the terms of these documents, they will prevail in the order in which they are listed.

By using the Joro ِCash mobile application, the User acknowledges having read and expressly agreed to these TOS. Joro ِCash invites Users to regularly consult the TOS. Indeed, these TOS may evolve and be subject to modifications by Joro ِCash. In this case, Joro ِCash undertakes to inform the User of the modification of these TOS, their annexes, and associated documents,if the rights or obligations of the User would be affected by this modification. Joro ِCash will inform the User on the Joro ِCash mobile application, at least two weeks before the effective date of the modifications. In case of refusal of the proposed modifications, the User may terminate their membership with Joro ِCash.

Terms of Service related to the purpose of transactions

The Joro ِCash user account is strictly personal. It is forbidden for the user to lend it or dispose of it. Any assignment or transfer of a Joro account to a third party is strictly prohibited and will result in the termination of the user's access, without notice.

To use Joro ِCash, the user declares that they:

‍● are at least 18 years old;

● are a resident of Morocco;

● are legally capable;

● are not subject to any legal or judicial prohibition or incapacity;

● have provided sincere, accurate, and up-to-date information during their registration, and will inform Joro ِCash of any changes to this information;

● are not identified on a national or international blacklist as part of the fight against money laundering and the financing of terrorism;

● are acting on their own behalf and for their own interest;

● are not already a holder of a user account with Joro ِCash;

● are not a "US Person" or deemed to be one, meaning that they are not a US taxpayer within the meaning of the US tax authorities and the FATCA law of March 18, 2010 (Foreign Account Tax Compliance Act)."

“US Person" is defined as follows: citizens of the United States or any person presumed to be a US citizen, provided that they hold a US passport or were born on US territory, even if such place of birth appears on a passport of another country, and even if the person also holds another nationality or resides in another country, and the renunciation of US citizenship cannot be demonstrated; residents of the United States, regardless of their nationality, either: 1. (i) anyone who is considered a tax resident in the United States under US federal law, 2. (ii) anyone who requests to be treated as a tax resident in the United States, or 3. (iii) anyone who is considered a tax resident under the law of that US state; holders of a permanent residency card (green card) in the United States; persons who have their primary residence or professional address in the United States; persons whose primary postal address is in the United States

In addition, any person who meets the long-term stay criteria for a calendar year is also considered a "US Person" and a US tax resident under US federal law if they meet the following conditions: physical presence in the United States for at least 31 days in the current calendar year, and physical presence in the United States for at least 183 days during the three-year period that includes the current year and the two preceding years, counting: a. All days when the person was present during the current year, and b. 1/3 of the days when the person was present during the year before the current year; c. 1/6 of the days when the person was present two years before the preceding year.

It is the responsibility of the User to inform Joro ِCash in writing of any change related to their status as a user of the Service, in particular in the event of a change in their contact information (phone number, email…), or in the event of acquiring the status of a citizen of the United States of America or a Green Card holder."

These various changes must be communicated in writing and without delay by the User to Joro ِCash Support (contact@joro.cash). Joro cannot be held responsible for the consequences resulting from the User's failure to comply with their obligations. Adequate supporting documents will be provided spontaneously by the User and, if necessary, upon request by Joro ِCash. In the event of the User failing to communicate changes in their situation and supporting documents requested by Joro ِCash, the latter may restrict or cease the provision of services to which the User has access and proceed with the closure of the User's Account.


Terms of Service related to the purpose of transactions


It is prohibited for the User to use Joro Cash for the purchase of goods or services related to illegal activities, contrary to public order or morality, including but not limited to activities:

● That are directly or indirectly threatening, insulting, defamatory, discriminatory, racist, xenophobic, homophobic or that harm the honor or reputation of others;

● That are degrading or that violate human dignity;

● That incite the commission of an offense, a misdemeanor, a crime, or an act of terrorism or that advocate for war crimes or crimes against humanity;

● Offering or proposing unauthorized online gambling and betting services (including, where applicable, instant-win services) or prohibited gambling services that require financial sacrifice from the player and could create an expectation of winning any kind of gain;

● Allowing third parties to directly, or indirectly obtain illicit substances or products;

● Subject to a specific legal regime and exercised in violation of that regime (e.g. tourism agents, medical professions, legal professions...);

● Related to the acquisition, use, or transfer of cryptocurrencies in an unreasonable, abusive or professional manner and/or as part of a fraudulent global transaction scheme in the absence of specific security protocols and financial flow monitoring.

Additionally, Joro Cash reserves the right to refuse certain activities at its discretion, based on their controversial nature and/or the significant amount of fraud they are associated with. Specifically, the following activities are prohibited, but not limited to: 

● Paid appointments (for prostitution and its derivative forms);

● Pornography and any other form of cinematographic work prohibited to minors;

● Products or services of an erotic nature;

● The sale of cannabidiol (CBD) or products containing it;

● Activities related to spiritualism or alternative medicine (hypnotist, medium, tarot reader, energy healer, shaman, etc.);

● The sale of electronic cigarettes and tobacco products or related items;

● Peer-to-peer lending, including tontines;

● Political associations or groups;

● Cultural associations or groups lacking legal personality and/or whose practices and activities are controversial in terms of morality;

● Companies created in fact or not endowed with legal personality.

Finally, the use of Joro Cash for treasury purposes between different accounts or means of payment is expressly prohibited. "Round-trip" transactions, particularly between a deferred debit account and an immediate debit account, constitute abusive use of the service. In the event of repeated use of this type of transaction, Joro Cash reserves the right to close the Client Particular's account and/or to levy a penalty (see Pricing Appendix) for non-compliance with these TOS, which will be deducted directly from the Client Particular's account before it is closed.

If the Private Client wishes to obtain more information about the usage limits of their account, they can contact the support service at the email address: contact@joro.cash.

In the event of the use of the Joro Cash service to purchase products or services resulting from the aforementioned activities, the account will be closed. The user will also be liable for a penalty (see Pricing Appendix) for non-compliance with these TOS, deducted directly from their account before its closure.


Installation and Operation of Joro Cash:

Registration and opening a Level 1 account:


Per Circular No. 7/W/16 of June 10, 2016 from Bank-Al-Maghrib ("Circular on the modalities for the provision of payment services"), accounts known as level 1 accounts ("Level 1 Account(s)") are subject to a limit of MAD 200. When creating a new Joro Cash Account, the User's account will by default be a Level 1 Account.

To create a Joro Cash Level 1 Account, the User must agree to these TOS (and other documents mentioned above) and provide the following information, which is mandatory: name, first name, date of birth, and phone number. The User will have the option to specify their gender, choose a Joro Cash identifier ("Joro Cash Tag"), and share their email address.

Joro Cash will transmit this information to Lana Cash, which may carry out all necessary regulatory checks, including for anti-money laundering and counter-terrorism financing regulations. Joro Cash may request additional supporting documents. Joro Cash will only open the Joro Cash Account once all the requested information has been received. Joro Cash or Lana Cash reserves the right to refuse to open a Joro Cash Account or to refuse to transact with a Bank Account, particularly if it has already been associated with another Joro Cash Account or if there is suspicion of fraud.

The User must notify Joro Cash in writing of any changes to the information provided. This notification can be made via the modification process provided in the Joro Cash Mobile Application. In the absence of notification of any changes, Joro Cash cannot be held responsible for any adverse consequences for the User, such as the blocking of their Joro Cash Account.

The User undertakes to provide personal information that is sincere, accurate, and up-to-date.


Procedure for upgrading to a Joro Cash Level 2 Account ("Level 2 Account(s)")


To hold, transfer, receive, or pay an amount greater than MAD 200 on Joro Cash, the user must complete the level 2 upgrade process ("Upgrade N2 Process"): for a better user experience, the Upgrade N2 Process is fully digitized.

To complete the Upgrade N2 Process, the user must:

1- initiate their request for a level change by logging into the dedicated space on the Application;

2- scan a Moroccan identity document (by taking a photo of the front and back): either a National Identity Card (CIN) or a passport;

3- manually complete/correct the information;

4- share real-time proof of life through movements made in front of the camera; the identity is then verified by comparing the image with that of the identity document to validate the upgrade to a Level 2 Account.

The user is informed that to carry out the identity document scan (step 1) and facial recognition (step 4) operations, Joro Cash has partnered with the company Indatacore. Indatacore is one of the leaders in the digital industry based on artificial intelligence and deep learning technologies in Morocco. It is a reference player in eKYC solutions in Morocco, whose solutions have been certified by Bank-Al-Maghrib

Note: the biometric facial processing of the user is captured during the real-time proof of life sharing, carried out by Indatacore. This specific processing allows or confirms the unique identification of an individual based on their physical, physiological or behavioral characteristics. It also allows the detection of the "living" status of the user to verify that they have not been physically or digitally altered. These biometric data are considered sensitive by the CNDP and are therefore declared to the CNDP by Indatacore. Joro Cash is neither authorized to store nor authorized to process biometric information.


Step-by-step description of how to transfer funds between individuals within the Joro Cash application


Step 1 - Opening a Joro Cash Account: 

‍Once the Joro Cash application has been downloaded from Google Play or the Apple Store, the User must provide the information specified above. Upon completion of the User's registration by Joro Cash, an M-Wallet is immediately created by the partner payment institution, Lana Cash.

The account thus created is denominated in Moroccan dirhams (MAD) and allows for the recording of payment, collection, and transfer operations carried out by or for the User. A RIB is immediately created and assigned by Lana Cash.

The User can only issue or receive payments in Moroccan dirhams (MAD). 

Step 2 - Registering of a Payment Method in the User’s Account;

‍The User can register a bank card, of which they are the holder, in the Joro Cash Application to use as a means of payment for recharging their Account. The deposit account agreement governing the bank card must authorize fund transfers by card. These recharging operations are carried out by the CMI (Interbank Monetary Center).

The User is advised that only the CMI retains the data relating to the bank cards recorded: neither Joro Cash nor Lana Cash are authorized to record or store this information in their databases. However, the User agrees that the data relating to their card will be kept by the CMI.

Step 3 - Transfer to another mobile wallet or Payment Operation:

‍The user can initiate a transfer to another User (the “Beneficiary”):

1) Either in the context of a face-to-face transfer with the Beneficiary, via a QR code;

2) Or in the context of a remote transfer:

‍ ● With the Joro Cash Application, either (i) by selecting the Beneficiary of the payment from their contacts directory (which requires the User to have agreed to link their contacts directory to the Joro Cash application), or (ii) by entering their phone number, or (iii) their Joro Cash Tag;

● Via Joro Cash, by accepting a payment request issued by another User.

The User's Joro Cash balance is immediately debited and that of the Beneficiary is immediately credited. Once the operation is confirmed, only the Beneficiary can, by any means, return the funds to the transferor.

If the Beneficiary is not a holder of a Joro Cash Account, they will receive a text message inviting them to install the Application within a period of seven days. After this period, the transaction is canceled and the payment method used is credited again.

The User is solely responsible for the payment operation that they have ordered. Once the operation has been carried out and validated, the Account is debited. Joro Cash cannot be held responsible in the event of an error made by the User.

Step 4: Receipt of Funds (Collection):

‍Funds are instantly credited to the Beneficiary's Account if they are already a Joro Cash User. Otherwise, the Beneficiary is informed of the transaction by text message and can receive the funds within seven days by downloading the Joro Cash Application. If not, after seven days, the transaction is canceled and the transferor's Account is credited again.

Step 5: Transfer of Funds to a Bank Account

‍If desired, the User can wire all or part of their Joro Cash balance to the bank account of their choice, within the limits of their Account Level. To do so, the User is invited to provide the RIB of the Account to which they wish to make a wire transfer. In doing so, the User can store their bank details in the Application.


Services and Features Available in Joro Cash


- Transfers between Joro Cash accounts : as described above

- Funds deposits : as described above

- Funds withdrawals : as described above

- Access to transaction history :  the User can consult their balance and the history of the latest operations recorded on the Joro Cash account at any time. The update of the balance and transaction history is done instantly by Lana Cash and accessible on the Joro Cash application.

- Bill Payments :  the User can pay various bills from their Joro Cash account to Third-Party providers. The list of Third-Party providers and the services offered are displayed and accessible on the Application.

- Interoperability of Joro Cash with other mobile wallets : the User can directly receive transfers from payment institutions other than Lana Cash on their default Joro Cash Application and can also make transfers from the Joro Cash Application (and therefore from the Lana Cash M-Wallet) to the mobile wallet of another payment institution. If the recipient does not have Joro Cash or another mobile wallet, an SMS will be sent to them so that they can download the Joro Cash Application.

- Generation of a bank account number (RIB) : a bank account number is generated automatically upon the opening of a payment account. To obtain their RIB, the Client can go to the "profile" section of the Application, contact Customer Service at the number displayed on the Application, or contact us by email at contact@joro.cash.

QAZI Finance reserves the right to modify the services accessible on the Joro Cash Application at any time, including the addition of new services or features based on technological developments or the removal of existing services.


Responsibility when accessing the Joro Cash Application


QAZI Finance takes all necessary measures to ensure the proper execution of transactions, as well as the security and confidentiality of data exchanged through the use of the Joro Cash Application.

However, QAZI Finance and Lana Cash cannot be held responsible towards the User for any possible errors, omissions, interruptions, or delays in transactions carried out through the Application resulting from unauthorized access. QAZI Finance and Lana Cash cannot be held responsible for the theft, destruction, or unauthorized communication of data resulting from unauthorized access to the Joro Cash Application. QAZI Finance and Lana Cash cannot, in any case, be held responsible for the use of the Joro Cash Application or the operations carried out within the scope of the Application

QAZI Finance and Lana Cash are not responsible, in any way, for any losses resulting from the User's mishandling of the mobile phone, malfunctioning of the mobile device, malfunctioning of the Joro Cash Account and Services, or delay in the mobile network due to events beyond Joro Cash's control, such as data transport, malfunction of equipment or telecommunications networks, interruptions in service due to fortuitous events or force majeure (war, fire, water damage, etc.). This list is simply indicative and not exhaustive.

QAZI Finance reserves the right to temporarily suspend access to the Joro Cash Application for technical or maintenance reasons without any entitlement to compensation. However, Joro Cash is committed to informing the User, without delay, by SMS in the event of a breakdown or unavailability of Services.

It is up to the User to obtain all necessary information before making a money transfer to a beneficiary with full knowledge of the facts. Each transfer or payment made by the User gives rise to a contract directly formed between him/her and the Beneficiaries, to which Joro Cash and Lana Cash are not a party. As a result, they cannot be held responsible for the non-performance or improper performance of obligations relating to the transfer or payment imposed on both the User and the Beneficiary, or for any potential damages caused to either party.


Blocked access in case of lost, stolen or forgotten Credentials


When the user becomes aware of the loss, theft or any unauthorized or fraudulent use of the device on which the Joro Cash Application is installed, the user should request the blocking of their account from Joro Cash Support by emailing support@joro.cash without delay.

Joro Cash cannot be held responsible for the consequences of a blocking request that does not come from the user.

The unlocking of the Joro Cash account can be done after analysis by our services and in consultation with the user.


Duration of the Service and Termination


9.1 Service Duration

‍‍

The Service offered by the Joro Cash Application is subscribed for an indefinite period. It comes into effect from the date of the User's signature of the opening form and acceptance of these TOS.

The User may terminate this Agreement at any time without compensation of any kind by contacting Joro Cash customer service or directly from the Application. The request will be processed within a maximum period of 30 (thirty) calendar days.

Joro Cash may terminate the services provided at any time upon a 2 (two) month notice period, proof of which will be provided to the User on a durable medium.

In case of failure by the User to comply with any of the obligations provided for in these TOS or in case of suspicion of fraudulent or illegal use of Joro Cash's services, Joro Cash may immediately suspend access to its services without compensation to the User and terminate this Agreement automatically.

9.2 Inactive Accounts

‍‍An account is considered inactive when, at the end of a period of 12 (twelve) months, no operation has been carried out on it and the User has not contacted Joro Cash.

After notification of inactivity remaining unanswered from the User, Joro Cash reserves the right to close inactive accounts for more than 12 (twelve) months.

In case of the User's death, the balance cannot be refunded except to the rightful heirs.

9.3 Consequences of Service Termination

‍On the date of termination of the Joro Cash Service, whatever the cause, the Joro Cash Account will be deactivated and closed once all funds have been transferred to the bank account provided by the User. The User must transfer to their personal bank account the funds credited to their Joro Cash Account. This transfer may be blocked in certain cases per legislation on the fight against money laundering and terrorist financing.


Anti-Money Laundering and Terrorist Financing


Under regulations on the fight against money laundering, including Law No. 43-05 on the fight against money laundering completing Chapter IX of Title I of Book IIII of the Penal Code, Users declare that:

The origin of the funds deposited, received, or expected to be used through Joro Cash is legal and does not come from any of the activities mentioned in the Penal Code or any other legislation applicable to the fight against money laundering, nor from any other activities that could be directly or indirectly illegal or undermine the moral and responsible requirements of QAZI Finance and Lana Cash;

They have not facilitated in any way the concealment, disguising the true nature or false justification of the origin of the assets or income of the author of an illegal activity that provided direct or indirect profit, nor provided assistance to an operation of placement, concealment, or conversion of the direct or indirect proceeds, nor provided assistance to an operation of custody, placement, concealment, conversion, transfer, or transport of the direct or indirect proceeds of an illegal activity.

The User expressly acknowledges that QAZI Finance and Lana Cash are subject, per anti-money laundering regulations, to the obligations of vigilance, internal monitoring, and reporting of suspicion. Therefore, the User guarantees the accuracy and truthfulness of all information and documents provided regarding their identity.

The User expressly acknowledges that in case of doubt about the origin of funds, the legality of the transaction, or their identity, QAZI Finance and Lana Cash may not execute the transaction or may suspend it if it occurs during the transaction, without their liability being engaged as a result.

The User acknowledges that QAZI Finance and Lana Cash will retain all documents related to their transactions for a period of ten (10) years, per their legal obligations.

The User acknowledges that in case of doubt about the origin of funds or the legality of the transaction, Qazi Finance may make a report of suspicion to any competent authority, or transmit any information or document to the competent supervisory authority, in accordance with their legal obligations, without their liability being engaged as a result.


Continuity of Service and Malfunctions


Joro Cash will use its best efforts to ensure the continuity of the Service. However, Joro Cash cannot be held responsible towards the User in case of malfunction, error or interruption of the Service as long as it has taken all necessary measures at its disposal to remedy these malfunctions.

The User acknowledges that their access to the Service may be occasionally restricted to allow for error correction, maintenance or the introduction of new features or services. The User must ensure, under their responsibility, the compatibility of their device with the Joro Cash Service and have installed all necessary updates for the proper functioning of the Service, available on the application stores.

Joro Cash cannot guarantee the operation of the Service with all existing devices. Therefore, Joro Cash is not responsible for any disputes that may arise between the User and the hardware provider or in the use of fixed or wireless telecommunications networks and their access providers.


Data Privacy


Our detailed policy on personal data protection is available on the mobile application (Help section) as well as on Joro Cash website.

For your information, QAZI Finance collects your personal data to comply with regulatory provisions and to ensure the best quality of service. This processing has been the subject of a declaration/authorization request to the CNDP.

The personal data collected may be transmitted to our partner Lana Cash, competent administrative and judicial authorities; national and foreign funds transfer partners; conventional service providers in the event of disputes (lawyers, experts); the relevant services or authorized agents of the General Directorate of Taxes, the Customs and Indirect Taxes Administration, Bank Al Maghrib, UTRF, the Office of Foreign Exchange and various public bodies authorized to receive them; the control services (auditors, auditors, services in charge of internal or external control procedures) per the transfer request filed with the CNDP.

Personal data concerning the User may give rise to the exercise of a right of access, rectification and opposition in accordance with the provisions of Law 09-08, by sending an email to contact@joro.cash or by sending a written letter with acknowledgment of receipt to the Customer Service, at the address indicated below, mentioning in the subject of the letter "DCP Joro Cash - QAZI Finance": Residence les Jardins d'Anfa, Apartment 36 building F Angle Bd Lido and rue Biarritz, Ain Diab, Casablanca.


Withdrawal Right


The User has the right to withdraw from this Agreement without giving any reason within a period of 7 (seven) days following the date of conclusion of the Agreement, per Law 31-08.

To exercise their right of withdrawal, the User must notify Joro Cash, by email (at support@joro.cash), of their decision to withdraw from this Agreement before the expiry of the withdrawal period. In any case, the User has the right to terminate the Agreement at any time.


Dispute Resolution and Jurisdiction 


The law applicable to the Contract is exclusively Moroccan law. In the event of any issues related to the use of Joro Cash, the User is encouraged to contact Customer Service by email at contact@joro.cash.

In the absence of an agreement between the parties to resolve the dispute through mediation, the parties agree to submit to the jurisdiction of the Commercial Court of Casablanca.
